Distance Sales Agreement

ARTICLE 1 – PARTIES

CUSTOMER (Natural or Legal Person)

The Customer is the person who purchases consultancy services on their own behalf from the website www.thecompassconsultancy.com. The Customer accepts being contacted through the address and contact information shared on the website www.thecompassconsultancy.com.

ARTICLE 2 – SUBJECT

The subject of this Agreement consists of regulating the mutual rights and obligations of the parties in accordance with the Regulation on Distance Contracts prepared based on the Law No. 6502 on the Protection of Consumers, regarding the Customer’s use of the website www.thecompassconsultancy.com, the characteristics and price information of the services purchased via the website, and the provision of the “Online Consultancy” service to the Customer. By purchasing the online consultancy service, the Customer shall be deemed to have accepted this Agreement.

ARTICLE 3 – SERVICE DESCRIPTION

With the online consultancy service, the Supplier provides the consultancy services needed by the Customer through audio or video communication channels. Each online consultancy duration is limited to 40, 60 or 80 minutes according to the service duration purchased by the Customer. Within 48 hours following the payment of the service fee by the Customer, the Supplier contacts the Customer to create an online consultancy appointment, and the online consultancy appointment is created by mutual agreement. In order for the payment to be deemed realized, it must appear in the Supplier’s accounts.

ARTICLE 4 – RIGHTS AND OBLIGATIONS OF THE PARTIES

4.1 Rights and Obligations of the SUPPLIER:

4.1.1 The Customer purchases the online consultancy service by using the website www.thecompassconsultancy.com. By filling out the relevant form on the website www.thecompassconsultancy.com, the Customer selects the subject for which they wish to receive online consultancy service. It is the obligation of the Supplier to create an appointment for online consultancy with the most appropriate consultant according to the subject selected by the Customer.

4.1.2 The duration of the online consultancy may vary as 40, 60 or 80 minutes according to the consultancy service purchased by the Customer. The Customer determines the online consultancy duration by selecting it during the purchase.

4.1.3 Online consultancy service is not provided to persons under the age of 18.

4.1.4 Online consultancy is not a crisis intervention or legal service, and no attorney-client relationship is established between the Parties.

4.1.5 The Customer accepts that the online consultancy service received may not be an appropriate solution for everyone’s needs and/or every specific situation.

4.1.6 During the online consultancy service process, if it is determined that it is not appropriate for the Customer to continue online consultancy and/or that online consultancy does not provide benefit, the Supplier has the right to terminate the service.

4.1.7 In case the online consultancy service is interrupted or cannot be provided due to technical reasons (such as battery, internet and power outages) or outside the will of the parties, a one-time appointment will be created for the Customer by the Supplier. If the Customer does not respond to the Supplier regarding the additional appointment to be created or if the Customer cannot be contacted, the service shall be deemed to have been provided by the Supplier. Within this scope, the Customer shall not request any refund regarding the provided service.

4.2 Rights and Obligations of the CUSTOMER

4.2.1 With this Agreement, the Customer shall be deemed to have confirmed that they are over 18 years old and legally capable of entering into a contract. The Customer accepts and declares that there is no obstacle preventing them from making and implementing their own decisions in order to benefit from online consultancy services, that they do not have a situation that may legally require guardianship, and that they do not have any other legal reason that would contradict the provisions of this Agreement from the outset.

4.2.2 If the Customer is not legally of age, has a guardian appointed, or is involved in situations containing elements of crime, online consultancy shall not be provided to the Customer. The Supplier is not responsible for damages arising from misleading information provided by the Customer.

4.2.3 The service purchased from the website www.thecompassconsultancy.com may only be used by the Customer. The right of use cannot be transferred to third persons or institutions.

4.2.4 The Customer confirms that all information shared on the website www.thecompassconsultancy.com and/or through the website is correct, current and complete and accepts notifications to be made through these contact details.

4.2.5 The Customer accepts that they are solely and fully responsible for maintaining the confidentiality of the password and other security information related to the account created on the website www.thecompassconsultancy.com and/or through the website and for all activities carried out using this account.

4.2.6 The Customer accepts and undertakes that during/after the online consultancy service process, they shall not exhibit any of the following behaviours:

(a) unsolicited e-mail and/or advertisement or promotion of goods and services;

(b) malicious software or code;

(c) illegal, harassing, privacy-violating, abusive, threatening, rude, obscene, racist or potentially harmful content and discourse;

(d) any content that may harm a third person;

(e) content that may constitute, cause or encourage a criminal act or violate applicable laws.

If the Customer engages in verbal and/or sexual harassment, the Supplier has the right to terminate the session immediately.

4.2.7 The Customer accepts checking and scanning all files to be obtained from the website www.thecompassconsultancy.com and/or through the website before opening or using them in order to be protected against virus or malicious software damages.

4.2.8 The Customer may not record audio and/or video of the meetings to be conducted during online consultancy due to being unlawful. Additionally, it is the responsibility of the Customer to ensure that audio and/or video recordings are not taken by third persons.

4.2.9 The Customer is obliged to have the personal devices (such as computer/tablet/mobile phone) to be used in online consultancy ready at the determined day and time and to ensure that the process continues without interruption. Therefore, before starting the online consultancy process, sufficient battery and internet availability must be checked by the Customer and it must be ensured that the consultancy process takes place in a quiet and private environment.

ARTICLE 5 – CONFIDENTIALITY

5.1 The Supplier accepts, declares and undertakes that all kinds of information belonging to the Customer learned and/or accessed within the scope of this Agreement by the Supplier or persons providing services on behalf of the Supplier in any capacity are confidential in nature, that such information shall not be used in any way by the Supplier or persons providing services on behalf of the Supplier or disclosed to third persons, and that all necessary measures shall be taken to prevent disclosure and/or access or learning of such information by third persons.

5.2 During the online consultancy service, the audio and/or video conducted service contents cannot be recorded by the parties and cannot be shared or published with third persons.

5.3 Information shared between the parties during the online consultancy process is confidential and cannot be disclosed to third persons unless the Customer gives permission. However, in case there is a possibility that the Customer may harm themselves or another person and/or commit a crime, it may be shared immediately with the competent authorities where required by law.

5.4 During the online consultancy process, if an ongoing crime or a crime that has been committed but whose consequences can still be limited is learned, or if an indication that a crime has been committed is encountered, the Supplier shall notify the official authorities pursuant to Articles 278, 279, 280 of the Turkish Penal Code.

5.5 The online consultancy service is carried out according to the principle of confidentiality. The identity information of the Customer is kept confidential and is not shared with third persons. In cases required by law, it is shared with competent authorities upon request by judicial authorities and law enforcement units.

5.6 The Customer accepts that the personal information such as e-mail and phone number shared while creating registration on the website www.thecompassconsultancy.com and/or filling out the relevant application form is correct and belongs to them and accepts receiving all notifications such as correspondence, message, e-mail to be sent to this e-mail and/or phone number by the Supplier.

5.7 The Supplier has the right to contact the Customer via letter, e-mail, SMS, phone call and other means through the address, e-mail address, landline and mobile phone lines and other contact information specified by the Customer during site registration and/or in the relevant application form or updated later by the Customer, for communication, marketing, notification and other purposes. By accepting this Agreement, the Customer accepts and declares that the Supplier may carry out the above-mentioned communication activities.

ARTICLE 6 – TERM OF THE AGREEMENT

The term of this Agreement starts with the payment of the service by the Customer for the provision of online consultancy service via the website www.thecompassconsultancy.com and ends with the realization of the online consultancy on the appointment day and time. This Agreement is established upon reading the preliminary information form, approving the distance sales agreement, making the payment by the Customer and the payment appearing in the Supplier’s accounts.

ARTICLE 7 – RIGHT OF WITHDRAWAL

Regarding the payments made by the Customer for the online consultancy service that constitutes the subject of this Agreement, due to the nature of the service, pursuant to Article 9 of the Regulation on Distance Contracts, the Customer has the right of withdrawal within 14 days. Pursuant to Article 15/h of the same Regulation, if the performance of the service has started with the Customer’s approval before the expiration of the withdrawal period, the Customer cannot exercise the right of withdrawal. The performance of the service in this Agreement shall be deemed to have started 24 hours before the online consultancy appointment.

ARTICLE 8 – REFUND

8.1 No refund shall be made for refund requests made less than 24 hours before the appointment.

8.2 Appointment Change Request: The Customer may request a change regarding the online consultancy appointment time created by the Supplier with the Customer’s approval. The Customer must notify this request to the Supplier up to 12 hours before the appointment time. Appointment change requests made less than 12 hours before the appointment time shall not be processed. The Customer may request appointment change at most once for each online consultancy appointment within the usage period specified in Article 9 of this Agreement.

8.3 Due to a reason arising from the Supplier, a refund may be made or another online consultancy appointment may be given to the Customer.

This Distance Service Agreement starts with the payment of the contract service fee by the Customer. The Customer makes the payment of the service fee in accordance with the selected service package by using one of the EFT or credit card methods offered by the Supplier. In case the payment is made via EFT, the payment receipt shall be sent by the Customer to the Supplier’s e-mail address info@thecompasslaw.com.

ARTICLE 10 – NOTIFICATION ADDRESS

For all notifications to be made regarding this Agreement, the communication channels detailed below shall be used.

Supplier’s Communication Channel with the Customer: The contact information (email, phone) in the application form filled out by the Customer via the website www.thecompassconsultancy.com.

This Distance Sales Agreement consisting of 10 (ten) articles shall be deemed accepted between the parties and shall enter into force when the purchase is completed by the Customer.
